1. Acceptance of this Agreement

This End User Licence Agreement and Terms of Use ("Agreement") is a legal agreement between you and Elvee Ltd ("Elvee Ltd", "we", "us" or "our") governing your download, installation and use of the Water Planter mobile application ("App"). By downloading, installing, accessing or using the App, you agree to this Agreement. If you do not agree, you must not use the App.

2. Licence Grant

Subject to your compliance with this Agreement, Elvee Ltd grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the App on devices that you own or control, solely for personal, non-commercial use. You may use the App only as permitted by this Agreement and applicable marketplace rules. The App is licensed to you and is not sold.

3. Apple App Store Terms

For App Store downloads, this Agreement is between you and Elvee Ltd, not Apple. Elvee Ltd, not Apple, is responsible for the App and its content, maintenance and support, product-liability, legal and regulatory, consumer-protection and privacy claims, and intellectual-property infringement claims. Apple has no obligation to provide maintenance or support. If the App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, as required by law; Apple has no other warranty obligation.

You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government prohibited or restricted-party list. You must comply with applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you upon acceptance.

4. Description of the Service

Water Planter provides plant-care management tools, including soil-check and watering reminders, plant identification, suggested plant-care intervals, weather-informed reminder adjustments, plant-care history, plant condition or mood indicators, and notifications, streaks and milestones. The App may use plant characteristics, pot details, soil type, light conditions, placement, soil observations and location-related weather information. Recommendations are estimates for general informational purposes; plant needs vary and you remain responsible for checking your plants and deciding when and how to care for them.

5. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to create an account or use the App. If you are below the age of majority in your jurisdiction, you may use the App only with a parent or legal guardian's permission and supervision.

6. Accounts and Security

You must provide accurate and current information.
You must keep login credentials confidential and are responsible for activity through your account.
You must notify us promptly if you suspect unauthorised access.

You may not create an account using false information, impersonate another person or use another person's account without permission.

7. Free Plan and Premium Subscriptions

Water Planter Premium is available through auto-renewable subscriptions.

The free version of Water Planter allows users to manage one (1) plant at no cost.

The free plan may include monthly or usage-based limits for AI plant identification and AI watering recommendations. Current limits are shown in the App; we may adjust them, but changes will not affect an already purchased subscription period.

Premium may be available through weekly, monthly or yearly auto-renewable subscriptions. Premium features may include unlimited plants, higher identification and watering-recommendation limits, and other functionality shown in the App. The exact duration, price, currency, introductory offer, trial eligibility and included features are displayed before purchase.

For Apple purchases, payment is charged to your Apple Account when confirmed.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Your account will be charged for renewal within 24 hours before the end of the current billing period.

You may manage or cancel your subscription at any time through your Apple App Store or Google Play account settings.

Deleting the application does not automatically cancel your subscription.

If offered, any unused portion of a free trial will be forfeited when you purchase a subscription.

You can restore previously purchased subscriptions using the "Restore Purchases" option available within the application.

8. Trials, Cancellations and Refunds

We may offer trials, introductory prices or promotional offers to eligible users. Terms are displayed before purchase. Unless cancelled before an offer ends, a subscription may renew at the displayed standard price; unused trial time may be forfeited upon purchase where applicable.

You may cancel through the marketplace where you purchased. Cancellation normally takes effect at the end of the billing period, and Premium access generally remains available until then. Apple purchases are subject to Apple's refund policies.

All purchases made through Google Play are subject to Google's refund policies.

Elvee Ltd cannot directly issue refunds for transactions processed by Apple. Nothing in this Agreement limits refund or cancellation rights under mandatory consumer law.

9. User Content

You retain ownership of any photos, plant names, and notes you upload. By uploading content, you grant us a limited license to store, process, and display it solely to provide the App's services.

10. Acceptable Use

You agree not to:

Use the App for any illegal purpose.
Attempt to gain unauthorized access to the App or its systems.
Interfere with or disrupt the App or its servers.
Upload harmful, infringing, or offensive content.

11. Artificial Intelligence, Weather and Privacy

Some features use AI or automated systems to identify plants, suggest care intervals or generate recommendations. Results may be incomplete, inaccurate or unsuitable; independently inspect your plants, soil and conditions before acting and do not rely exclusively on AI results where errors could cause damage or loss. Weather functionality may rely on third-party forecasts and location information, which may be delayed, incomplete or inaccurate. You remain responsible for assessing actual local conditions.

Our collection and use of personal data is governed by our Privacy Policy.

12. Intellectual Property

The App, including its design, code, text, graphics, and branding, is owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.

13. Third-Party Services, Availability and Disclaimer

The App may rely on third-party weather, authentication, analytics, AI and marketplace services, which may have their own terms and privacy policies. We aim to keep the App functional but do not guarantee uninterrupted, secure or error-free availability. We may make reasonably necessary service changes or updates, giving notice where required by law.

To the maximum extent permitted by law, the App is provided "as is" and "as available." We do not guarantee accurate plant identification, suitable care recommendations, accurate weather information, delivery of reminders at a particular time, or uninterrupted and error-free operation. Nothing excludes consumer rights or warranties that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.

15. Indemnification

You agree to indemnify and hold harmless the developer, affiliates, and service providers from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

16. Suspension and Termination

We may suspend or terminate access for material breach, unlawful or fraudulent use, threats to service security or operation, or unpaid marketplace amounts. Where reasonably possible, we will provide notice and an opportunity to correct the issue. You may delete your account at any time, but that does not cancel an active marketplace subscription. On termination, your licence ends and provisions that should survive remain effective.

17. Service Availability

We strive to provide uninterrupted access to the Service but do not guarantee that the Service will always be available, error-free, or uninterrupted.

Maintenance, updates, or circumstances beyond our control may temporarily affect availability.

18. Changes to this Agreement

We may update this Agreement for legal, technical, security or service changes. The updated version shows a revised Last updated date. For material changes, we will provide notice through the App or another appropriate method. Continued use after the effective date constitutes acceptance, except where law requires additional consent.

19. Governing Law

This Agreement is governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except where mandatory consumer-protection law allows proceedings elsewhere. Nothing limits rights available under mandatory laws of your country of residence.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

This Agreement and the Privacy Policy constitute the entire agreement between you and Elvee Ltd regarding use of Water Planter, except for additional terms accepted for a specific subscription or feature.
